make sure your system clock is ok. also see to it that you are not using any proxy, if so, disable them and connect directly to the internet. disable your firewall if needed.

then click on start/run/ and enter the following files through.

    a. REGSVR32 softpub.dll
    b. REGSVR32 wintrust.dll
    c. REGSVR32 initpki.dll
    d. REGSVR32 Rsaenh.dll
    e. REGSVR32 Mssip32.dll
    f. REGSVR32 Cryptdlg.dll
    g. REGSVR32 Dssenh.dll
    h. REGSVR32 Gpkcsp.dll
    i. REGSVR32 Slbcsp.dll
    j. REGSVR32 Sccbase.dll

restart your msn messenger. if you still cannot connect, consider temporarily going on http://webmessenger.msn.com/ to login. and then verify that the servers are ok on http://messenger.msn.com/status.aspx

I don't use MSN but did face similar problems when I upgraded Yahoo messenger.
The problem was solved after re configuring settings on the anti virus firewall settings & proxy settings.
