Default ProSiebenSAT1, to be sold by the end of the year

ProSiebenSAT1 to sell for at least 3 bln euros by year-end: report
    Monday, December 4th, 2006
ProSiebenSAT1, one of Germany’s biggest free-to-air broadcasters, is to be sold by the end of the year for a minimum of three billion euros ($4 billion), the business dailies Handelsblatt and Financial Times Deutschland reported on Monday. ”We won’t sell our shares for less than three billion euros,” Handelsblatt quoted a source close to ProSiebenSAT1’s current shareholders as saying.

The newspaper said that of the five candidates still in the running to buy the broadcaster, the best placed appeared to be the Turkish radio and television group Dogan. ”I can’t rule out that other bidders might offer a higher price, but we wouldn’t then follow,” the supervisory board chief of Dogan, Aydin Dogan, told FT Deutschland however.

ProSiebenSAT1 was an opportunity “that you don’t come across every day. But we do our sums soberly,” Dogan said. The bidders are being allowed to examine the books of ProSiebenSAT1 until December 12. The group’s current owners, a group of investors around the US-Israeli billionaire Haim Saban first tried to sell ProSiebenSAT1 to newspaper publisher Axel Springer at the beginning of this year. But the deal was blocked by competition authorities. Springer recently announced it had taken a stake in Dogan.

ProSiebenSAT1 to be sold to investors KKR, Permira: sources
    Thursday, December 14th, 2006

ProSiebenSAT1, one of Germany’s biggest free-to-air broadcasters, is to be sold to private equity groups Kohlberg Kravis Roberts (KKR) and Permira, industry sources said today. The final sale agreement was “now merely a formality,” the sources said.

ProSiebenSAT1’s current shareholders, a group of investors around the US-Israeli billionaire Haim Saban, had agreed in principle to accept the bid by KKR and Permira. All that was needed now were the final signatures. The sale price is expected to be more than three billion euros ($4 billion).

Also in the running for ProSiebenSAT1 had been Turkish radio and television group Dogan and a consortium comprising Apax and Goldman Sachs. Haim Saban first tried to sell ProSiebenSAT1 to newspaper publisher Axel Springer at the beginning of this year. But the deal was blocked by competition authorities.

SBS-ul asta detine actualmente actiuni in Prima TV, Kiss TV, Kiss FM, Magic FM. Am rasfoit putin netul pe tema asta si se pare ca-si bat capul destul de tare cu expansiunea. Se pare ca vor sa-i depasesca pe cei din RTL Group.

Default ProSiebenSAT1 to buy SBS for 3.3 billion euros

ProSiebenSAT1 to buy SBS for 3.3 billion euros
    Wednesday, June 27th, 2007

ProSiebenSAT1, the German commercial television group, said today it would buy rival SBS Broadcasting in a 3.3-billion-euro ($4.4-billion deal to create Europe’s second-biggest broadcaster. ”ProSiebenSAT1 and the shareholders of the SBS Broadcasting signed a share purchase agreement today,” the German free-to-air broadcaster said in a statement.

SBS belongs to ProSieben’s new owners, private equity groups Kohlberg Kravis Roberts (KKR) and Permira, who had indicated when they bought ProSiebenSAT1 that they intended to merge the two broadcasters. And since those plans were already taken into consideration by the EU Commission when KKR and Permira acquired ProSieben, the transaction was not conditional on the approval of competition authorities or media regulators. It could therefore be completed by the beginning of July, the statement said.

ProSiebenSAT1 said the deal would enable it to create a pan-European broadcasting group. ”This transaction is a major step into the future for us,” said chief executive Guillaume de Posch. ”Both geographically and strategically, SBS Broadcasting is the perfect fit for ProSiebenSAT1. The combination will create a pan-European broadcasting platform.”

SBS chief executive Patrick Tillieux would become chief operating officer (COO) of the new group, with responsibilities for international TV, radio, print and group operations.

ProSieben CEO de Posch said the deal was “all about content. ”We will achieve a greater critical mass, which will allow us to produce a broader selection of high-quality programming” throughout Europe.

The combined group would retain the name ProSiebenSAT1 and would be headquartered in Munich. It will operate 24 free-TV stations, 24 pay-TV stations and 22 radio networks in 13 European countries, including the Netherlands. ProSiebenSAT1 said the deal would expand its reach to more than 77 million European households, reportedly placing it second among TV broadcasters in the EU after RTL.
